Terms of Service

These Terms of Service (“Terms”) govern your access to and use of MatterOS — the website at thematteros.com and the related applications, features, and services (together, the “Service”). The Service is operated by MatterOS (“MatterOS”, “we”, “us”, or “our”), based in New Delhi, India. By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a firm or organisation, you represent that you are authorised to bind that entity, and “you” refers to that entity. You are responsible for the activity under your account and for keeping your credentials secure.

2. What MatterOS is — and is not

MatterOS is a software tool that helps legal professionals organise matters: it ingests documents and produces chronologies, summaries, extracted facts, drafts, and other work product, with sources cited back to the underlying files.

For the avoidance of doubt, MatterOS is provided solely as Software-as-a-Service (SaaS): an AI-based software product delivered electronically over the internet. It does not include any human-driven, advisory, consulting, or professional services — all features and outputs are generated by automated software and AI systems.

MatterOS is not a law firm, does not provide legal advice, and using it does not create an attorney–client relationship. Outputs are generated with the assistance of automated and AI systems and may be incomplete or inaccurate. You — the qualified professional — remain solely responsible for reviewing, verifying, and deciding how to use any output, and for meeting your own professional, ethical, and client-confidentiality obligations.

3. Your account

You agree to provide accurate registration information and to keep it current. You are responsible for all use of your account and for any users you invite. Notify us promptly at support@thematteros.com if you suspect unauthorised access.

4. Your content and your data

As between you and us, you own all matters, documents, and other content you upload or create in the Service (“Customer Content”). You grant us a limited, worldwide, non-exclusive licence to host, store, process, transmit, and display Customer Content only as needed to operate and provide the Service to you, including processing it through our sub-processors.

  • We do not sell your Customer Content.
  • We do not use your Customer Content to train third-party or foundation AI models.
  • You can export or delete your Customer Content; see our Privacy Notice.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in violation of any applicable law or professional rule;
  • upload content you do not have the right to upload, or that infringes others’ rights;
  • attempt to gain unauthorised access to, probe, or disrupt the Service or its security;
  • reverse engineer, resell, or sublicense the Service except as permitted by law;
  • use the Service to build a competing product, or to send spam or malware.

6. AI features

Certain features rely on third-party AI models accessed through our AI gateway provider. AI output is provided “as is”, may be wrong, and must be independently verified before you rely on it. You are responsible for ensuring that uploading particular content to an AI-assisted service is consistent with your confidentiality and regulatory obligations.

7. Plans, billing, and our reseller (Paddle)

MatterOS is offered on paid subscription plans, billed monthly or annually, and may be offered with a free trial. Paid plans include monthly allowances (for example, AI credits and storage) described on our pricing page.

Our order process and payments are conducted by our reseller and Merchant of Record, Paddle.com Market Limited (“Paddle”). Paddle is the seller of record for your purchase, handles the transaction and applicable taxes, and provides billing-related customer service. Your purchase is also subject to Paddle’s buyer terms and privacy policy, available at paddle.com.

Subscriptions renew automatically at the end of each billing period using your selected payment method via Paddle, until cancelled. We (or Paddle on our behalf) may change prices or plan features; we will give reasonable advance notice of price increases, which take effect at your next renewal. Applicable taxes may be added.

8. Free trial

If you start a free trial, you will not be charged until the trial ends. Unless you cancel before the trial ends, your subscription will automatically begin and your payment method will be charged for the plan you selected. Trials are limited to one per customer and may be modified or withdrawn at any time.

9. Cancellation and refunds

You may cancel at any time from your account settings or via Paddle. Cancellation stops future renewals; your access continues until the end of the period you have already paid for.

Except where required by applicable law, fees are non-refundable. Please review our Refund Policy, which forms part of these Terms.

10. Third-party services

The Service relies on third-party providers, including Supabase (hosting, database, authentication, and file storage), our AI gateway provider (AI model access), and Paddle (payments). Your use of the Service may be subject to those providers’ terms, and we are not responsible for third-party services.

11. Intellectual property

The Service, including its software, design, and the “MatterOS” name and marks, is owned by us or our licensors and is protected by law. These Terms grant you a limited, non-transferable, non-exclusive right to use the Service; no other rights are granted.

12. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, reliability, or uninterrupted availability of the Service or its output. You use the Service at your own risk.

13. Limitation of liability

To the maximum extent permitted by law, MatterOS and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us (or to Paddle for the Service) in the 12 months before the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold MatterOS harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms or applicable law.

15. Suspension and termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service. You may stop using the Service at any time. On termination, your right to use the Service ends; we will make Customer Content available for export for a reasonable period, after which it may be deleted in line with our Privacy Notice.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the Service). Changes take effect when posted, and your continued use means you accept the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to any non-waivable rights you have as a consumer, the courts at New Delhi, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
